Welcome to Helix ("we," "our," "us"). By accessing or using our website at helixaiautomations.com (the "Website") or engaging our services, you agree to be bound by the following Terms of Service ("Terms"). Please read these Terms carefully. If you do not agree, please do not use the Website or our services.

1. Services

Helix provides AI-powered automation services for businesses, including but not limited to: AI phone agents, AI website chat agents, AI social channel agents, automated review generation, custom workflow automations, website design and development, and related consulting services (collectively, the "Services"). Services are provided on a subscription basis as described in the applicable plan selected by the client.

2. Subscription Plans and Billing

Our Services are offered through tiered subscription plans with monthly recurring fees. By subscribing to a plan, you authorize us to charge your designated payment method on a recurring monthly basis. One-time setup fees may apply and are due upon commencement of services. All fees are non-refundable except as expressly stated in these Terms. We reserve the right to modify pricing with 30 days written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

3. Our Guarantee

We do not offer monetary refunds. If your AI agents are not capturing leads within 90 days of deployment, we will continue optimizing your system at no additional cost until they are. This guarantee applies to the proper functioning of AI agents as configured and does not guarantee specific revenue outcomes, conversion rates, or business results.

4. Cancellation and Termination

You may cancel your subscription at any time by providing written notice to info@helixaiautomations.com. Upon cancellation: AI agents (phone, web chat, social) will be deactivated. Automated workflows and review generation will be discontinued. Access to your client dashboard will be terminated. Any website built by Helix as part of your subscription is your property and will be handed off to you, including source code and assets, upon request within 30 days of cancellation. Helix-managed hosting for the website will cease upon cancellation, and you will be responsible for migrating to your own hosting provider. Your historical data, contact summaries, and reports generated during your subscription remain your property and will be provided upon request within 30 days of cancellation. We reserve the right to terminate your access to the Services for breach of these Terms, non-payment, or any illegal or harmful use of the Services.

5. Website Ownership

Websites designed and built by Helix as part of a subscription plan are your property. While your subscription is active, Helix hosts, maintains, and optimizes the website as part of the ongoing service. Upon cancellation, you retain full ownership of the website including source code, content, and design assets. Helix will provide the complete website files upon request within 30 days of cancellation. You are responsible for arranging your own hosting after cancellation. AI agents, chat widgets, and automation integrations embedded in the website are part of the Helix service and will cease to function upon cancellation.

6. AI Agent Disclaimers

AI agents deployed by Helix are designed to capture caller information, respond to common inquiries, and route messages to your team. AI agents are not human and may occasionally produce inaccurate, incomplete, or inappropriate responses. Helix is not liable for any business decisions made based on information captured or conveyed by AI agents. AI agents do not provide legal, medical, financial, or professional advice. You are responsible for reviewing AI-captured summaries and following up with customers appropriately. We continuously monitor and optimize agent performance but do not guarantee 100% accuracy.

7. Acceptable Use

You agree to use the Services only for lawful purposes. You may not: use the Services to harass, deceive, or defraud any person; transmit any unlawful, threatening, or harmful content through AI agents; attempt to reverse-engineer, copy, or resell the Services; use the Services in any way that violates applicable local, state, or federal law.

8. Intellectual Property

All content on the Website, including text, graphics, logos, and software, is the property of Helix or its licensors and is protected by intellectual property laws. Custom workflows, AI agent configurations, and automation systems built by Helix remain the intellectual property of Helix. Content you provide (business information, logos, copy) remains your property.

9. Third-Party Services

Our Services may integrate with or rely upon third-party platforms including but not limited to GoHighLevel, Twilio, OpenAI, and other technology providers. We are not responsible for the availability, performance, or terms of any third-party service. Changes to third-party platforms may affect the functionality of our Services, and we will make reasonable efforts to maintain continuity.

10. Limitation of Liability

To the fullest extent permitted by law, Helix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the total fees paid by you to Helix in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Helix, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in North Carolina.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated Effective Date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
